Terms & Conditions

1. Introduction

 

Welcome to Muxy, Inc. ("Muxy," "we," "us," or "our"). These Terms of Service (the "Terms") govern your access to and use of our websites, hosted Twitch extensions, alerts/notifications, analytics, developer tools, and other products and services we make available (collectively, the "Services"). By using our Services, you agree to be bound by these Terms and our Privacy Policy.

2. Roles and Responsibilities

​

Muxy provides Services both:

  • Directly to end users for Muxy‑branded products (acting as a data controller), and

  • On behalf of business clients (acting as a data processor/service provider). When acting as processor, Muxy processes data only per client instructions pursuant to our Data Processing Addendum (DPA).

3. Eligibility & Account Registration

​

You must be at least the age of majority in your jurisdiction (and in all cases 13+) to use the Services. You agree to provide accurate information, keep it current, and safeguard your credentials. We may refuse, suspend, or terminate accounts at our discretion.

4. Acceptable Use

​

You may not:

​

  • Violate laws or infringe intellectual property rights
     

  • Harass, defame, or threaten others
     

  • Upload malicious code, spam, or circumvent security
     

  • Scrape or extract data except through approved APIs
     

  • Interfere with, disrupt, or overload the Services
     

  • Impersonate others or misrepresent your affiliation

5. Client Campaigns and Monetization

​

Clients running campaigns are solely responsible for compliance with marketing, sweepstakes, and tax laws, disclosures, and fulfillment obligations. Muxy provides the platform but does not assume campaign liability unless explicitly agreed in writing.

6. Fees & Payment

​

Fees are payable in U.S. dollars via supported payment processors (e.g. Stripe, PayPal). Unless required by law, fees are non‑refundable. You are responsible for all applicable taxes.

7. Intellectual Property

 
7.1 Our IP

All rights, title, and interest in the Services are owned by Muxy or its licensors. Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable license to use the Services.

​

7.2 Your Content

You retain ownership of content you submit but grant Muxy a worldwide, non‑exclusive, royalty‑free license to host, reproduce, and display it solely to operate and improve the Services.

​

7.3 Feedback

If you provide suggestions, you grant us a perpetual, irrevocable, royalty‑free license to use them.

​

8. Privacy

 

Your use of the Services is subject to our Privacy Policy. You are responsible for obtaining all required consents and lawful bases for data you submit.

9. DMCA & IP Complaints

​

To report copyright infringement, email legal@muxy.io with the required DMCA notice elements. We may remove infringing content and terminate repeat infringers.

​

10. Service Availability​

 

We strive for uptime but do not guarantee uninterrupted operation. We may suspend Services for maintenance, security, legal, or operational reasons.

11. Disclaimers of Warranties

​

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUXY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE, SECURE, OR UNINTERRUPTED.

12. Limitation of Liability

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUXY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MUXY IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100.

13. Indemnification

​

You agree to defend, indemnify, and hold harmless Muxy, its affiliates, officers, employees, and agents from any claims, damages, or expenses (including attorneys’ fees) arising out of or related to: (a) Your Content; (b) your violation of these Terms or law; or (c) your use of the Services.

14. Termination

​

You may stop using the Services at any time. We may suspend or terminate your access for breach of these Terms, security risks, fraud, abuse, or as required by law. Provisions that should survive termination (e.g. IP rights, limitation of liability, indemnity) will remain in effect.

​

15. Governing Law, Arbitration & Class Action Waiver

 

These Terms are governed by the laws of Texas, USA. Disputes will first be attempted to be resolved informally by contacting legal@muxy.io.

​

If unresolved within 30 days, any dispute or claim will be resolved by binding arbitration in Travis County, Texas, administered by the American Arbitration Association (AAA) under its rules. Judgment on the award may be entered in any court of competent jurisdiction.

​

Class Action Waiver: You and Muxy agree that disputes will be resolved only on an individual basis and not as a class, consolidated, or representative action. If this waiver is found unenforceable, disputes must be brought exclusively in the state or federal courts of Travis County, Texas.

​

16. Changes

 

We may modify these Terms from time to time. Material changes will be posted on our site or emailed to you before taking effect. Continued use of the Services after changes take effect constitutes acceptance.
